Terms of Service

These terms govern your use of Flux, a business-management and MTD-compliance service operated by Khanya AI Ltd (Company No. 17194319), 71-75 Shelton Street, Covent Garden, London WC2H 9JQ. By creating a Flux account you agree to these terms.

1. Acceptance of terms

Creating an account, signing in, or using any Flux feature constitutes acceptance of these Terms of Service and the Privacy Policy. If you do not agree, do not use Flux.

2. Description of service

  • Flux is a business-management and MTD-compliance tool for UK sole traders. It helps you create jobs, send invoices, track mileage and expenses, and prepare quarterly MTD ITSA submissions.
  • Flux is not a substitute for professional tax or legal advice. Where your circumstances warrant it, consult a qualified accountant.

3. Account registration

  • You must be at least 18 years old to use Flux.
  • You must be a UK sole trader, freelancer or business owner providing services in the United Kingdom.
  • You must provide accurate registration details, including UTR and NINO where required for HMRC submissions, and keep them up to date.
  • You are responsible for keeping your password and device secure. You must notify us promptly of any unauthorised access.

4. Subscription and payment

  • Plans available at the date of these terms are Starter £12/month, Pro £22/month and Pro+ £36/month.
  • Every plan starts with a 14-day free trial. No payment is taken during the trial period.
  • All payments are processed by Stripe. Khanya AI Ltd does not see or store your card details.
  • You can cancel your subscription at any time from Settings. Cancellation takes effect at the end of the current billing period.
  • We do not refund partial or used months. If you cancel mid- period, you retain access until the period ends.

5. HMRC submissions

  • Flux assists you in preparing and submitting quarterly MTD ITSA updates and Final Declarations to HMRC.
  • You remain responsible for the accuracy of every figure you submit. Always review the data before authorising a submission.
  • Verify all figures with your accountant where appropriate before submitting to HMRC.
  • Khanya AI Ltd is not liable for any HMRC penalties, interest, or other consequences arising from incorrect, incomplete or late submissions. Tess, our accuracy agent, surfaces likely issues but does not guarantee submission correctness.

6. Acceptable use

  • Flux is for UK-based individuals and businesses only. Use outside the UK is not supported.
  • You must not submit false or fraudulent information to HMRC via Flux.
  • You must not use Flux for any illegal activity, money laundering, or to facilitate tax evasion.
  • You must not reverse-engineer, copy, resell, or sublicense the Flux service or any part of it.

7. Intellectual property

  • The Flux software, brand, design, and documentation are owned by Khanya AI Ltd and protected by UK intellectual property law.
  • Your data remains yours. By using Flux you grant us a non-exclusive licence to host, process and display your data solely to deliver the service to you.

8. Limitation of liability

  • Flux is provided "as is" and "as available" without warranties of any kind, express or implied, beyond those that cannot lawfully be excluded.
  • To the maximum extent permitted by law, Khanya AI Ltd is not liable for HMRC penalties, interest, tax assessments, missed deadlines, or any indirect, incidental, consequential, or punitive damages arising from your use of Flux.
  • We are not liable for data loss outside our reasonable control (e.g., your device failure, your account compromise, third-party service outages).
  • Nothing in these terms excludes or limits liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot be excluded under English law.

9. Termination

  • You can cancel and delete your account at any time from Settings.
  • On request, we will provide a copy of your data in a machine-readable format before final deletion.
  • Account data is permanently deleted 30 days after cancellation, subject to the financial-record retention obligations described in the Privacy Policy.
  • We may suspend or terminate accounts that breach these terms, including breaches of the Acceptable Use section.

10. Governing law

  • These terms are governed by the laws of England and Wales.
  • Any dispute arising out of or in connection with these terms or your use of Flux is subject to the exclusive jurisdiction of the courts of England and Wales.
